The WeYourConsult service and network (collectively, the “WeYourConsult Service” or the “Service”) are operated by WeYourConsult and its corporate affiliates (collectively, “we” or “WeYourConsult”). By accessing or using our website at address weyourconsult.com, any subdomains or related domains (collectively, the “Site”), you (the “user” or “you”) acknowledge that you have read, understood, and agree to be bound by these Terms of Use (“ Terms of Use” or “Agreement”), regardless of whether you are a registered member of WeYourConsult.

These Terms of Use apply to your access to and use of weyourconsult.com (the “Site”), including all software, data, reports, text, images, sound, video and content made available through any part of the Site (collectively, the “Content”). Content includes all of these elements as a whole, as well as individual elements and parts thereof.

If you are entering into these Terms of Use on behalf of a company or other legal entity (“User Entity”), you must have the legal authority to contractually bind that User Entity to these Terms of Use, in which case the terms “you” or “your” or “User” will refer to that User Entity. If you do not have such legal authority to contractually bind or do not agree with these Terms of Use, you must not accept these Terms of Use or access or use the site or content.

WeYourConsult reserves the right, in its sole discretion, to change, modify, add or delete portions of these Terms of Use at any time without further notice. WeYourConsult will publish the changes to these Terms of Use on the Site and will indicate at the top of this page the date of the last revision of these terms. It is your responsibility to periodically check the Terms of Use for any changes. Continued use of the Site and the Contents after the effective date of such changes constitutes acceptance of the new or modified Terms of Use. General Conditions / Access and Use

Authorization to access and use the site and its contents.

Provided that you comply with these Terms of Use and the provisions thereof, you can access or use the Site and the Contents solely for the purpose of evaluating WeYourConsult’s contents, services and products.

The information contained in this site cannot in any way be considered as advice and cannot in any way bind the author.

No responsibility is assumed for any consequences deriving from any decisions taken or initiatives undertaken on the basis (and / or as a consequence) of the information contained in this site. Each of the users of this site should consult WEYOURCONSULT or another experienced professional who is familiar with the particular situation in question for advice on specific problems or other matters before making any decisions.

Ownership and restrictions

All rights, titles and interests relating to the Site and the Contents will remain and will belong exclusively to WeYourConsult. Do not:

  • you will sublicense, resell, rent, lease, transfer, assign, time share or otherwise commercially exploit or make the Site and any Content available to any third party,
  • you will use the Site and Content in any way that is unlawful (including, without limitation, in violation of data, privacy, or export control laws) or in any way that interferes with or disrupts the integrity or performance of the Site and Content or related components, or
  • modify, adapt, or hack the Site and Contents or attempt to gain unauthorized access to sensitive portions of the Site and Contents or related systems or networks (for example, bypassing encryption or other security measures, gaining access to any source code or any other underlying form of technology or information, and gain access to any portion of the Site and Content, or any other WeYourConsult services or products that are not readily available to the general public).

You may not copy, modify, frame, republish, publicly perform or display, sell, reproduce, distribute or create derivative works of the Site and the Contents, except that you may download, view and print a publicly available copy of the materials ( that is, the Content that does not require an account name or password to access) on a single computer solely for personal, non-commercial use, provided that it does not modify the material in any way and keeps all copyrights intact, trademark and other proprietary notices. You agree not to access the Site or the Contents by any means other than the interface provided by WeYourConsult to access the same. You may not use any “page-scrape”, “deep-link”, “spider” or “robot” or other automatic program, device, algorithm or methodology or any similar manual mode.

Responsibility for your data. You are solely responsible for all data, information and other content that you upload, post or provide or otherwise store (hereinafter “post(ing)”) in connection with or in connection with the Site.

Reservation of rights WeYourConsult and its licensors own and retain respective rights in and to all logos, company names, trademarks, copyrights, trade secrets, know-how, patents and patent applications used or incorporated into or otherwise related to the Site and Content WeYourConsult does not grant any right or license (whether by implication, estoppel or otherwise) to you under these Terms of Use.

No guarantee, and exclusion of liability on the part of WeYourConsult

THE SITE AND THE CONTENT, ALL SERVER AND NETWORK COMPONENTS, ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITH ALL ERRORS AND DEFECTS AND WITHOUT ANY WARRANTIES OF ANY KIND AND WEYOURCONSULT EXPRESSLY DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF ACCURACY, COMPLETENESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, AND ANY REPRESENTATIONS OR WARRANTIES ARISING FROM COURSE OF DEALING, PERFORMANCE, OR USAGE OF TRADE. YOU ACKNOWLEDGE THAT WEYOURCONSULT DOES NOT WARRANT THAT ACCESS TO OR USE OF EITHER THE SITE OR THE CONTENT WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE OR VIRUS-FREE, AND WEYOURCONSULT MAKES NO WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SITE AND CONTENTS. NO INFORMATION, ADVICE OR SERVICE OBTAINED BY YOU FROM WEYOURCONSULT OR THROUGH THE SITE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS OF USE AND YOU SHOULD NOT RELY SOLELY ON THE SITE AND THE CONTENT AS A BASIS FOR YOUR DECISIONS.

WEYOURCONSULT reserves the right to carry out any of the following actions, at any time, without notice:

  • modify, suspend or terminate your operation of or access to the Site, or any portion of the Site, for any reason;
  • modify or change the Site, or any portion of the Site, for any reason; and
  • interrupt the operation of the Site, or any part of the Site, if necessary to perform ordinary or extraordinary maintenance, error correction or other modifications

Limited responsability

Exclusion of Damages and Limitation of Liability. As a consideration for your use of the Site and Content under these Terms of Use, you further agree that WEYOURCONSULT WILL NOT BE LIABLE TO YOU FOR INCIDENTAL, CONSEQUENTIAL, INDIRECT, SPECIAL, PUNITIVE OR EXEMPLARY DAMAGES (INCLUDING DAMAGES FOR LOSS OF BUSINESS, LOSS OF PROFITS OR SIMILAR) ARISING FROM OR RELATING TO THESE Terms of Use, INCLUDING WITHOUT LIMITATION, THE USE OR INABILITY TO USE THE SITE, PLATFORM, CORRESPONDING SERVICES, CONTENT, PROPRIETARY INFORMATION OR ANY INTERRUPTION OR INTERRUPTION OF SUCH USE, EVEN IF WEYOURCONSULT IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF THE CAUSE OF THE ACTION (BY CONTRACT, TORT, BREACH OF WARRANTY, OR OTHERWISE). WEYOURCONSULT’S TOTAL LIABILITY IN CONNECTION WITH THESE TERMS OF USE WILL IN NO EVENT EXCEED EUR 1.00.

Jurisdictional Limitations. Some states and other jurisdictions do not allow the exclusion of implied warranties or limitations of liability for incidental or consequential damages, which means that some of the above limitations may not apply to you. IN THESE JURISDICTIONS, WEYOURCONSULT’S LIABILITY WILL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

Dispute resolution. Jury waiver. THESE TERMS OF USE ARE CONDUCTED IN ACCORDANCE WITH, AND WILL BE INTERPRETED AND APPLIED IN ACCORDANCE WITH, THE ITALIAN LAWS APPLICABLE TO THE AGREEMENTS CONCLUDED AND TO BE PERFORMED EXCLUSIVELY THEREIN, WITHOUT GIVING EFFECT TO PRINCIPLES OF CONFLICT OF LAW. In any action between or among the parties, whether or not arising out of these Terms of Use, each party hereby irrevocably and unconditionally (a) consents and submits to the exclusive jurisdiction and venue of the Italian state; (b) YOU WAIVE ANY AND ALL RIGHTS TO TRIAL BY JURY IN ANY LEGAL PROCEEDING ARISING OUT OF OR CONNECTED WITH THIS AGREEMENT OR ANY TRANSACTION CONTEMPLATED HEREIN.

No addictions. Investigation due. You represent and agree that, given the general and “as is” nature of the Site and the Contents, not to specifically rely on any statements or materials contained in the Site or the Contents to make business decisions. Resource allocation and personnel issues are inherently complex and unique. If you choose to continue your inquiry to determine whether WEYOURCONSULT’s service is right for you, you will have the opportunity to make further inquiries about WEYOURCONSULT and should make an independent investigation into the suitability of using WEYOURCONSULT for your particular business needs Only after adequate due diligence, a thorough examination of WEYOURCONSULT’s service offering, including the terms and conditions of WEYOURCONSULT’s service contracts, and a thorough screening of any Partner that WEYOURCONSULT proposes to you, should you come to any conclusions or take any decision as to whether WEYOURCONSULT or any WeYourConsult proposed partner is right for you and your specific needs or project requests.

Various. These Terms of Use, and any additions, changes, modifications and/or modifications made thereto by WEYOURCONSULT, together with WEYOURCONSULT’s Privacy Policy, constitute the entire agreement between the parties with respect to the portions of the Site available without account IDs and password. Access to certain password-restricted parts of the Site and any subsequent purchase and use of WEYOURCONSULT services are subject to Registration or acceptance of the Membership Agreement.

WEYOURCONSULT does not conduct business or seek commercial transactions with: (a) any entity, citizen or resident of a geographic area where access to or use of the WEYOURCONSULT Services is prohibited by law, decree, regulation, treaty or administrative act; (b) an entity, citizen or resident of or located in a geographical area subject to sanctions or embargoes of ITALY or other sovereign countries; (c) citizens of dictatorial states; or (d) an individual, or an individual employed by or associated with an entity, identified on the U.S. Commerce Department’s Denied Persons or Entity List, the Treasury Department’s Specially Designated Nationals or Blocked Persons Lists United States or U.S. Department of Commerce Blocked Persons Lists List of parties barred or otherwise ineligible to receive items subject to U.S. export control laws and regulations or other economic sanctions regulations of any sovereign nation ( collectively, a “prohibited counterparty”). By accessing the Site and the Content you represent and warrant that you are not a Prohibited Counterparty and that you will not seek or (attempt to) obtain services from or a business relationship with WEYOURCONSULT.

These Terms of Use and any additions, modifications, editing and/or modifications made thereto by WEYOURCONSULT may not be modified except by WEYOURCONSULT as indicated above. The failure of WEYOURCONSULT to exercise or enforce any right or provision of these Terms of Use shall not constitute a waiver of such right. Any notices to WEYOURCONSULT in relation to this agreement will be sent via email transmitted to office@weyourcosult.com provided that you also send a copy of such notice via nationally recognized courier to WEYOURCONSULT Srls a socio unico, Via Carlo Goldoni, 1, CAP 20129 Milan, Italy, Att.: Legal Department. In the event that any provision of these Terms of Use is determined to be illegal or unenforceable, such provision will first be revised to give maximum effect to its original intent or, if such revision is not permitted, such specific provision will be eliminated in so that these Terms of Use will otherwise remain in full force, effect and enforceability.

Trademarks

WeYourConsult’s trademarks may not be used in connection with any product or service in any way that may cause confusion and may not be copied, imitated or used, in whole or in part, without WeYourConsult’s prior written permission.

This website may contain information, products and services provided by third parties and links to websites made available by third parties. This information and these products, services and links are provided for the convenience of the users of this website only. WEYOURCONSULT does not control this information or these products, services or websites. WEYOURCONSULT makes no representations or warranties, express or implied, with respect to this information or these products, services or websites and will not be responsible for any information or services received from them. The inclusion of the foregoing on this website does not constitute or imply an endorsement, authorization, sponsorship or affiliation by or with WEYOURCONSULT with respect to any third party, the third party website or its content or any information, product or service provided by a third party.
